The seminar will outline the most common ways of valuing businesses for sale – based on turnover, profit, asset value, enterprise value and market valuation, explain concepts such as EBITDA multiples, add backs and how to deal with cash, debt and stock. We will consider the most common errors in valuation as well as which methodologies are appropriate for different types and scale of business including the major variances that apply to start-up, growth and exit/retirement sales and what to expect in relation to handover, earnout and staged payments. We will look at the controversial area of ‘seller finance’ and why many successful businesses fail to sell. We will also look briefly at the alternatives to sale.
